You are required to do the following:
1) Complete the readings set out in the Self-Study Worksheet “Introduction to Corporate Governance of Listed Companies”.
2) Locate the latest Annual Report of the Company which has been assigned to you by your instructor. You may obtain this either from the Company’s website or from the SGX website. If you are unable to obtain the Company’s 2022 Annual Report, please inform your instructor and you may be assigned another Company.

3) You are required to make a 5-minute presentation based on the following parameters: You are to focus on only on either Board matters (comprising principles 1 to 5) OR Remuneration matters (comprising principles 6 to 8). Please critically discuss the strengths and/or weaknesses of your assigned company’s corporate governance reporting and practices in relation to either Board matters or Remuneration matters, having regard to the aims of the Singapore Code of Corporate Governance 2018 and any other readings and independent research which you may wish to undertake.
Corporate governance reporting may sometimes amount to little more than a ‘compliance boxticking’ exercise and results in a highly standardised, formulaic, boilerplate reporting. Please ensure that you critically examine the company’s corporate governance reporting and share your insights and observations on the matter.
By requiring you to focus either on Board matters or Remuneration matters, you should note that the emphasis is therefore not on quantity (for example, by reading off copious amounts of what the company reported) but quality of analysis (for example, the reasons why you think an explanation for deviation from the code is meaningful or not meaningful).
4) You are to use PowerPoint slides to aid your presentation. You are limited to no more than 5 content slides (excluding cover page, placeholder etc) per presentation. The slides should be in handout format (2 slides per page) and be uploaded by 5pm on Sunday 14 April 2024.
5) You are expected to abide strictly with the allocated timing of 5 minutes for the presentation and marks will be deducted for exceeding the allocated time and/or for using more than 5 slides for your presentation.
6) Each presentation will be marked according to the attached rubric (Appendix A).
7) As this is an assessed course component, in the interests of fairness to all students, please do not approach your instructors for guidance in respect of the presentation. Your instructors will NOT entertain any queries related to the subject matter of the presentation.
8) Note that there will be no feedback given to you at the end of your respective presentations and feedback will be in the form of the marked rubrics which will be returned to you at an appropriate time after all presentations have been completed.
9) In the event that you do not turn up for your presentation as scheduled, you will be awarded zero marks for this course component.
10) You are reminded to adhere to NTU’s policy on academic integrity and ethical behaviour and you are required to submit a signed soft copy of the declaration of academic integrity (Appendix B) in respect of your presentation. The signed declaration is to be submitted to your instructor together with your presentation slides in the manner described in 4) above.
