TASK
Miriam has just graduated from the University of Business and has applied for a summer internship with a business consultancy firm called London Business Advisory (whose main clients are large business sellers of products and commodities).
Miriam has just found out that she has received an invitation to interview for an internship. Miriam is aware that if she impresses members of the various departments at London Business Advisory, it may lead to a permanent contract at the firm. Miriam has been told by Matthew, the HR Manager at London Business Advisory, that during the internship, the successful candidate would spend time in the Client Corporate Advisory Division. As part of the interview process, Miriam is given a set of questions/tasks beforehand to prepare.
Miriam is asked to prepare the following:
1.To read Kessler’s article in the Columbia Law Review setting out some thoughts about the freedom of contract (https://chicagounbound.uchicago.edu/cgi/viewcontent.cgi?article=11639&context=journal_articles) and to answer the following:
Traditionally, English contract law is said to favour the parties’ freedom to contract. This for example is seen in Kessler’s reference to the historical “legal lore” emphasising individualism and laissez faire.
Discuss the rules regarding the formation of a contract and indicate whether you think these rules of contract formation appear to favour the ‘freedom to contract’ approach (in your answer, ignore reference to consumer law).
2.Discuss the main business structures in the UK (eg. limited liability companies, partnerships, sole traders and limited liability partnerships) when advising clients on the most appropriate business structures for them.
